Terms and Conditions

By using the "tweetfeel Biz" service, a service of Conversition Strategies, Inc., you are agreeing to be bound by the following terms and conditions ("Terms of Use").

Free Trial Period

A valid credit card is required for registration. By registering for the Service, tweetfeel will provide You with access to the Site as a free trial user for ten (10) day ("Free Trial Period").

The term of use for the Free Trial Period will begin on the date of Your registration on the Site and continue for ten (10) days, unless terminated. Either You or Tweetfeel may terminate this Agreement at any time for any reason. Upon termination of this Agreement or the expiration of the Evaluation Period, all rights and benefits granted in this Agreement shall cease. Upon completion of the Free Trial Period membership term, Tweetfeel will commence charging You a full membership to the Site by charging the credit card You provided to Tweetfeel upon registration. If you do not wish to continue the service after the 10 day free trial, It is your responsibility to cancel the service before billing takes effect.

Paying Memberships

Paying memberships are billed in advance on a monthly basis. If You do not cancel your account within the Free Trial Period, Your credit card will be charged on a recurring monthly basis starting 11 days after your account was initially created. Tweetfeel will not issue refunds for periods of inactivity within an open account. If You choose to upgrade or downgrade Your service plan, Your credit card will be charged the difference between Your previous rate and Your new rate for the remainder of your term. On Your next regular billing date You will be charged the new rate for your new plan. Downgrading Your service plan may cause the loss of some or all Content, features, or capacity of Your account.

Tweetfeel may change the prices of all membership plans upon thirty (30) days notice to You. Such notice may be provided at any time by posting the changes to the Site. Tweetfeel will not be liable to You or to any third party for any modifications, price changes, or suspension or discontinuation of the Site or Services. Service fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and You are responsible for payment of all such taxes, levies, or duties, excluding only United States income (federal or state) taxes.

Member Account, Password and Security

To register for the Service, You must complete the registration process by providing Tweetfeel with current, complete and accurate information including Your e-mail address (username) and password and payment information. You are solely responsible for the protection of your passwords and take full responsibility for Your own, and third party, use of Your accounts. You are solely responsible for any and all activities that occur under Your account. You agree to notify Tweetfeel immediately upon learning of any unauthorized use of Your account or any other breach of security. From time to time, Tweetfeel (or its wholly-owned subsidiaries’) support staff may log in to the Service under Your account in order to maintain or improve service, including to provide You with technical assistance. You hereby acknowledge and consent to such access.

Cancellation

You may activate the cancellation of your membership at any time by clicking on the Account link in the navigation bar at the top of the screen on the Site. You are solely responsible for properly cancelling your account through this link, and an email or phone request to cancel Your account will not be considered effective for cancellation. If You cancel Your account before the end of Your current paid up month, your cancellation will take effect at the end of the month from the beginning of the final paid up month and You will not be charged again. All of Your saved data will be deleted from the Service at the end of the month of the final paid up month upon cancellation, and this information cannot be recovered once Your account is cancelled.

Basic Terms

• You must be 13 years or older to use this site.
• You may not use the tweetfeel.com service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
• You must not modify, adapt or hack tweetfeel.com or modify another website so as to falsely imply that it is associated with tweetfeel.com .
• You must not transmit any worms or viruses or any code of a destructive nature.
• You must not, in the use of tweetfeel.com, violate any laws in your jurisdiction (including but not limited to copyright laws).
• While tweetfeel.com prohibits such conduct and content on its site, you understand and agree that tweetfeel.com cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the tweetfeel.com service at your own risk.
• Tweetfeel gives you the option to change your data set therefore, tweetfeel cannot be held accountable for erroneous reporting of any kind.

General Conditions

• We reserve the right to modify or terminate the tweetfeel.com service for any reason, without notice at any time.
• We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will update the Terms of Use on the website which will serve as notice to you. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
• We reserve the right, in accordance with any applicable laws, to refuse service to anyone for any reason at any time.
• We may, but have no obligation to, remove Content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.
• The tweetfeel.com service makes it possible to show images and text hosted on outside websites. This use is accepted (and even encouraged!).

WARRANTY DISCLAIMER

THE USE OF AND BROWSING IN THE SITE IS AT YOUR OWN RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

ANY MATERIAL, DATA, TEXT, IMAGES, VIDEO, AND/OR AUDIO UPLOADED, DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK. CONVERSITION DOES NOT WARRANT OR GUARANTEE THAT SUCH MATERIALS ARE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE THAT MAY DAMAGE OR INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH UPLOADING AND/OR DOWNLOADING.

WHILE CONVERSITION USES REASONABLE EFFORTS TO INCLUDE ACCURATE AND UP TO DATE INFORMATION ON THE SITE, CONVERSITION MAKES NO WARRANTIES OR REPRESENTATIONS AS TO ITS ACCURACY. CONVERSITION MAKES NO REPRESENTATION THAT MATERIALS ON THE SITE ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS AND OTHER COUNTRIES. THOSE WHO CHOOSE TO ACCESS THE SITE FROM OTHER LOCATIONS DO SO ON THEIR OWN INITIATIVE AND ARE RESPONSIBLE FOR COMPLIANCE WITH APPLICABLE LOCAL LAWS.

CONVERSITION ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY DATA ERRORS, DATA LOSS OR OMISSIONS IN THE SITE CONTENT.

LIMITATION OF LIABILITY

NEITHER CONVERSITION NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE IS LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, OR ANY DAMAGES WHATSOEVER ARISING OUT OF YOUR ACCESS TO, OR USE OF, THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF CONVERSITION HAD BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN ADDITION TO THE FOREGOING, CONVERSITION'S LIABILITY FOR DAMAGES ARISING OUT OF, RELATING TO OR IN ANY WAY CONNECTED WITH THE SITE, THE RELATIONSHIP OF THE PARTIES, OR THE PROVISION OR NON-PROVISION OF GOODS OR SERVICES, (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL IN NO EVENT EXCEED THE LESSER OF $100(CDN) OR ANY COMPENSATION YOU PAY, IF ANY, TO CONVERSITION FOR ACCESS TO OR USE OF THE SITE. YOU ACKNOWLEDGE THAT WITHOUT YOUR AGREEMENT TO THE LIMITATIONS CONTAINED HEREIN, ACCESS TO THE SITE BY YOU WOULD BE DENIED.

CONVERSITION ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE SITE CONTENT.

ALTHOUGH CONVERSITION MAY FROM TIME TO TIME MONITOR OR REVIEW THE CONTENT, CONVERSITION IS UNDER NO OBLIGATION TO DO SO AND ASSUMES NO RESPONSIBILITY OR LIABILITY ARISING FROM THE CONTENT NOR FOR ANY ERROR, DEFAMATION, LIBEL, SLANDER, OMISSION, FALSEHOOD, OBSCENITY, PORNOGRAPHY, PROFANITY, DANGER, OR INACCURACY CONTAINED IN ANY CONTENT OR SITE CONTENT.

Indemnification

You agree to indemnify, defend and hold Conversition and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "Indemnified Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including legal fees) incurred by any Indemnified Parties in connection with any breach by you of the Site Terms. Conversition reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Conversition's defence of such claim. Applicable Law and Venue

The Site may be accessible throughout the United States of America and Canada; regardless of where you access the Site you explicitly agree that the laws of the Province of Ontario, Canada, govern the use of the Site. All disputes, claims or other matters arising from or relating to your use of the Site will be governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

Termination

Notwithstanding any provision of these Site Terms, Conversition reserves the right, in its sole discretion, at anytime with or without cause or notice or liability to you, to terminate your license to use the Site, or any portion thereof and to block or prevent your future access to and use of all or any portion of the Site, Site Content or any services.

Severability

If any provision of these Site Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Site Terms and shall not affect the validity and enforceability of any remaining provisions.

Reporting breaches of Site Terms

If you believe that any of the Site Terms have been breached by any other user please advise us at abuse@conversition.com.
